An SEC regulation providing an exemption for offerings made outside the United States to non-US persons.

How it works in practice

A Bermuda-domiciled SPV issues a cat bond under Regulation S, selling the notes to institutional investors in London, Zurich, and Singapore. Because the offering is made entirely outside the United States, the SPV does not need to register the securities with the SEC. Many cat bonds include both a Reg S tranche for non-US buyers and a 144A tranche for US qualified institutional buyers.
